THIS AGREEMENT ("Agreement") is entered into on the date signed below between The TGM Group, LLC, a Texas limited liability company ("Lessor," "TGM," "we," "us"), and the undersigned customer ("Lessee," "you").

Version 2.0 — Effective April 16, 2026

1. Parties & Equipment

1.1 Lessor leases to Lessee one (1) washer and one (1) dryer (the "Equipment"). Equipment may be new, used, or refurbished at Lessor's discretion.

1.2 The service address provided by Lessee at signing is the installation location and may not be changed without prior written authorization from Lessor.

1.3 The Equipment is and remains the sole property of Lessor at all times during and after this Agreement.

2. Lease Term

2.1 This Agreement is month-to-month and automatically renews every thirty (30) days unless terminated under Section 11.

2.2 This is NOT a rent-to-own or lease-to-own agreement. Ownership of the Equipment does not transfer to Lessee under any circumstances.

3. Payment Terms

3.1 Monthly Rental Rates: Basic $55.00/mo · Home Essential $65.00/mo · Premium $80.00/mo. All tiers include washer & dryer set, installation, routine maintenance, repairs, and parts.

3.2 Payment is due on the monthly anniversary of the installation date (the "Due Date"). Lessee may pay manually via the payment link provided by TGM or enroll in automatic payment ("Auto-Pay").

3.3 Auto-Pay enrollment includes a $5.00 monthly discount off the base rental rate. This discount is forfeited if Auto-Pay is canceled for any reason, including automatic cancellation due to missed payment (see Section 3.7).

3.4 If an Auto-Pay charge fails, Lessee has forty-eight (48) hours to correct the payment method or make manual payment.

3.5 Late Fee: A late fee of $10.00 is assessed if payment is more than five (5) days past the Due Date. The late fee is added to Lessee's next invoice or, if the current invoice remains unpaid, combined into a replacement invoice.

3.6 Service Suspension: Accounts six (6) or more days past due are subject to remote service suspension (see Section 9). Weekly billing customers are subject to immediate suspension on the Due Date.

3.7 Auto-Pay Cancellation: If an Auto-Pay account reaches six (6) days past due, the Auto-Pay enrollment will be automatically canceled and the $5.00 discount removed. Lessee must pay manually to restore service and may re-enroll in Auto-Pay once the account is current.

3.8 Billing Date Changes: Lessee may request to change their monthly Due Date. A $15.00 fee applies to each date change request. The new Due Date takes effect only after the $15.00 fee is paid in full.

3.9 No Partial Payments: Partial payments are not accepted. Full invoice amount, including any applicable late fees or other charges, is required to maintain or restore service.

3.10 Continued Non-Payment: Continued non-payment may result in termination of this Agreement and equipment retrieval under Section 11, and Lessee remains liable for all accrued charges.

4. Services Provided by Lessor

4.1 Included at no additional charge: installation, delivery, routine maintenance, repairs, replacement parts, and replacement equipment when Equipment cannot be repaired through reasonable effort.

4.2 Optional old-machine haul-off: $40.00 flat fee if Lessee requests removal of existing machines at the time of installation.

4.3 Annual Preventative Maintenance: Lessor will schedule one preventative maintenance inspection per year. Failure by Lessee to permit inspection within fourteen (14) days of scheduling may result in service interruption or termination.

5. Lessee Responsibilities

5.1 Provide safe, reasonable access to the Equipment for installation, maintenance, inspection, and retrieval.

5.2 Operate the Equipment properly and report malfunctions promptly via the TGM support channels.

5.3 Maintain a dry, safe installation area with functional electrical, water supply, and drainage.

5.4 Provide and maintain stable 2.4 GHz Wi-Fi access for the Automated Control Device (see Section 9) and notify Lessor promptly of any network changes.

5.5 Not relocate the Equipment to any location other than the service address without Lessor's prior written authorization.

6. Ownership & Equipment Restrictions

6.1 The Equipment is and remains the exclusive property of Lessor.

6.2 Lessee may not sell, transfer, pawn, abandon, conceal, sublease, or encumber the Equipment in any manner.

6.3 Unauthorized transfer, concealment, or disposal of the Equipment may result in termination and the replacement charge in Section 11.3, and may be reported to law enforcement.

7. Access Rights

7.1 Lessee must provide reasonable access to the Equipment upon request for maintenance, inspection, repair, or retrieval.

7.2 Failure to provide access within seven (7) days of a scheduled request may result in termination of this Agreement and the assessment of applicable fees.

7.3 Missed Appointment Fee: A $25.00 fee will be assessed if Lessee is unavailable or denies access at a scheduled appointment.

8. Damages & Liability

8.1 Lessee is responsible for damage to the Equipment arising from misuse, negligence, unauthorized relocation, or unsafe or hazardous conditions at the service address.

8.2 Lessor is NOT responsible for water damage, flooring damage, or other property damage arising from plumbing failures, drainage failures, electrical conditions, or any conditions at the service address outside Lessor's reasonable control.

8.3 Lessee is responsible for maintaining appropriate homeowner's or renter's insurance if such coverage is desired.

9. Automated Control Device

9.1 Lessee authorizes Lessor to install an electronic control device ("Device") that enables remote activation and deactivation of the Equipment.

9.2 The Device requires stable 2.4 GHz Wi-Fi. Lessee is responsible for providing and maintaining this network and notifying Lessor of any changes.

9.3 In the event of non-payment, refund, chargeback, or dispute, Lessor may remotely disable the Equipment. Disabling the Equipment does not void, reduce, or suspend Lessee's payment obligations.

9.4 Upon payment or resolution of the underlying issue, service will be restored. Restoration may be delayed if the Device is offline, tampered with, or unreachable.

9.5 Lessee may not remove, alter, bypass, disconnect, or interfere with the Device. Tampering may result in termination, repair costs, and replacement charges.

9.6 Lessee must allow Lessor to inspect, troubleshoot, or replace the Device as needed.

9.7 Lessor is not liable for any inconvenience, lost use, or incidental damages arising from service suspension caused by non-payment, tampering, Device malfunction, or Wi-Fi unavailability.

10. Privacy & Data Use

10.1 Lessor collects only the information necessary to operate this Agreement: name, service address, contact information, and payment information. Payments are processed through third-party payment processors; Lessor does not store full credit card numbers.

10.2 Wi-Fi credentials and network information are used solely for Device operation. The Device does NOT monitor, record, or transmit any activity inside Lessee's home beyond commands related to Equipment power state.

10.3 Lessor does not share Lessee's information except as required for payment processing, service delivery, equipment recovery, or legal compliance.

10.4 Communications: By signing, Lessee consents to receive service-related SMS and email communications from Lessor, including billing reminders, service notifications, and appointment confirmations. Lessee may opt out of non-essential SMS by replying STOP. Standard message and data rates apply.

11. Termination

11.1 Either party may terminate this Agreement with seven (7) days' written notice. Notice from Lessor may be delivered via SMS, email, or written communication.

11.2 Upon termination, Lessee must allow Lessor to retrieve the Equipment in good working condition (normal wear and tear excepted) within a reasonable time.

11.3 Replacement Charge: If the Equipment is missing, stolen, relocated without permission, damaged beyond normal wear and tear, or inaccessible for retrieval, Lessee agrees to pay $450.00 per set in replacement charges.

11.4 Reactivation: A terminated account may be reactivated at Lessor's discretion once all outstanding balances are paid in full. Reactivation preserves the Lessee's original account and service history.

12. Fee Schedule Summary

For convenience, all fees referenced in this Agreement are summarized below. The current Fee Schedule, which may be updated from time to time under Section 13, is also posted at tgmwashers.com/terms.

• Late Fee — $10.00 (payment more than 5 days past due)

• Billing Date Change Fee — $15.00 (each request to change billing date)

• Missed Appointment Fee — $25.00 (unavailable or access denied for scheduled service)

• Old Machine Haul-Off — $40.00 (optional removal at install)

• Equipment Replacement — $450.00 per set (missing, stolen, relocated without permission, damaged beyond normal wear, or inaccessible)

13. Updates to Terms & Fee Schedule

13.1 Incorporated Terms: Lessor maintains a current Fee Schedule, Service Policies, and Terms of Service at tgmwashers.com/terms (the "Online Terms"). The Online Terms are incorporated into this Agreement by reference and form part of the binding agreement between the parties.

13.2 Updates: Lessor may update the Online Terms from time to time to reflect operational changes, new services, fee adjustments (excluding the base monthly rental rate), communication procedures, or technology changes. The current version is always available at tgmwashers.com/terms.

13.3 Notice of Material Changes: Lessor will provide Lessee with at least thirty (30) days' advance notice of any material change to the Online Terms via SMS or email to the contact information on file. Non-material changes (typographical corrections, clarifications, formatting) may be made without notice.

13.4 What Requires a New Signed Agreement: The following changes require a new signed agreement and cannot be made by updating the Online Terms: (a) any increase to Lessee's base monthly rental rate; (b) changes to ownership terms in Section 6; (c) changes to the replacement charge in Section 11.3; (d) changes to the governing law in Section 14.3.

13.5 Acceptance of Updates: Lessee's continued use of the Equipment following the effective date of any update constitutes acceptance of the updated Online Terms. If Lessee does not agree to an update, Lessee may terminate this Agreement under Section 11.1 before the effective date.

13.6 Conflicts: If a conflict arises between this Agreement and the Online Terms, this Agreement controls except with respect to matters expressly delegated to the Online Terms (fees other than base rental, service procedures, communication policies, and technology requirements).

14. General Provisions

14.1 Entire Agreement: This Agreement, together with the Online Terms incorporated under Section 13, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, or agreements.

14.2 Amendments: Amendments to this Agreement (other than updates to the Online Terms under Section 13) must be in writing and signed by both parties.

14.3 Governing Law: This Agreement is governed by and construed under the laws of the State of Texas, without regard to its conflict-of-laws provisions. Venue for any dispute shall lie in the state or federal courts located in the county of Lessee's service address.

14.4 Severability: If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.

14.5 No Waiver: Lessor's failure to enforce any provision is not a waiver of its right to enforce that provision or any other provision later.
